Notice of filing with the U.S. Securities and Exchange Commission (SEC)

On November 12, 2013, Verizon Communications Inc. (Verizon) filed an amendment to a Form S-4 Registration Statement and an amendment to a Proxy Statement with the SEC relating to the stock purchase agreement entered into by Verizon on September 2, 2013 with Vodafone Group Plc (Vodafone) and Vodafone 4 Limited, a wholly owned subsidiary of Vodafone, pursuant to which Verizon agreed to acquire Vodafone's indirect 45% interest in Cellco Partnership d/b/a Verizon Wireless in exchange for transaction consideration of approximately $130 billion.
