Notice of Form 8-K furnished to the U.S. Securities and Exchange Commission (SEC)

On January 25, 2013, Verizon Communications Inc. (Verizon) furnished a Report on Form 8-K with the SEC to announce that Verizon Wireless signed agreements to complete a number of spectrum license transactions, including license sale, purchase and lease agreements. The transactions are subject to approval by the Federal Communications Commission and the Department of Justice and are expected to close promptly upon receiving necessary approvals.
