Notice of filing with U.S. Securities and Exchange Commission

On July 1, 2010 Verizon Communications Inc. (Verizon) announced the completion of the spinoff of the shares of New Communications Holdings Inc. (New Communications) to Verizon stockholders. Immediately following the spinoff, New Communications merged with Frontier Communications Corporation (NYSE: FTR), resulting in Verizon stockholders collectively owning approximately 68 percent of Frontier's common stock immediately after the merger.
