Notice of filing with the U.S. Securities and Exchange Commission (SEC)

On January 28, 2014, Verizon Communications Inc. (Verizon) filed a Form 8-K with the SEC announcing that a substantial majority of Verizon shareholders approved Verizon's issuance of up to 1.28 billion shares of common stock to Vodafone shareholders to complete the acquisition of Vodafone Group PLC's indirect 45 percent interest in Verizon Wireless.

Verizon also filed with the SEC a written communication pursuant to Rule 425 under the Securities Act.
