On May 29, 2014, Verizon Communications Inc. (Verizon) filed a Report on Form 8-K announcing that it has commenced a private offer to exchange up to all of the £600,000,000 outstanding aggregate principal amount of 8.875% Notes due 2018 of Cellco Partnership and Verizon Wireless Capital LLC for Verizon's new sterling-denominated notes due 2024 and cash.
