On September 16, 2013, Verizon Communications Inc. (Verizon) filed a Report on Form 8-K with the SEC disclosing that on September 11, 2013, Verizon entered into a purchase agreement with Barclays Capital Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. LLC, as representatives of the purchasers, for the public offering of eight series of Verizon's notes in an aggregate principal amount of $49 billion.
