Notice of filing with the U.S. Securities and Exchange Commission (SEC)

On June 8, 2015, Verizon Communications Inc. (Verizon) filed a Report on Form 8-K with the SEC disclosing that on June 4, 2015, the Board of Directors of Verizon approved amendments to certain provisions of Verizon's Bylaws to become effective on that date. The majority of the amendments revise certain provisions in Article III of the Bylaws relating to meetings of stockholders.
