Numis Corporation PLC12 July 2006 FOR IMMEDIATE RELEASE Numis Corporation Plc ("Numis") Numis Equity Incentive Scheme for Employees of Numis Securities Inc - The USRestricted Stock Plan ("USRSP") The Board of Numis today announces that it has introduced "The US RestrictedStock Plan" ("USRSP"), an equity share incentive scheme for US employees ofNumis Securities Inc ("NSI"). The terms of the scheme will mirror those for theNumis UK Long Term Incentive Plan ("LTIP"). Under the terms of the scheme,employees are invited to subscribe for Numis shares on the basis that for eachnew Numis share purchased they will receive, at no further cost to them, oneadditional Numis share (each a "matching share"). Subject to certain limitedexceptions, employees must remain in employment with the Numis Group for aminimum period of five years to achieve the matching share benefit. Under the Numis USRSP, Numis approved awards of 127,830 (0.12%) Numis shares ata price of 285.2p per share. These awards represent 63,915 (0.06%) shares to bepurchased by employees and 63,915 (0.06%) matching shares and will be fundedentirely by the allocation of 127,830 (0.12%) Numis shares, held by the NumisCorporation Plc Employee Share Trust ("the Trust"). The Trust currently holds9,567,197 (9.03%) Numis shares specifically for the benefit of Numis' employeeshare incentive schemes. Numis shares referred to above are Numis' ordinary shares of 5p each.
