Rule 19.6(b) update to stated post-offer intention statement with regards to Spectris
Bidco today announces that, subsequent to and conditional upon the Scheme becoming Effective, it intends to appoint Andrew Williams as Chairman of the board of Spectris and Pat Murphy as Vice Chairman of the board of Spectris, with such appointments expected as of the Effective Date.
Andrew has two decades of experience leading and overseeing high quality industrial companies, most recently as CEO of Halma. Over the course of 18 years leading Halma, Andrew completed more than 100 transactions and managed a global portfolio of around 50 high quality manufacturing businesses. During his tenure, Andrew established Halma's Sustainable Growth Model, and evolved the company's high performance and inclusive culture to deliver a track record of resilient growth.
Pat was the former President and CEO of Fortive Advanced Healthcare Solutions. Prior to that role, he led the Precision Technologies segment at Fortive and oversaw its operations in EMEA and China. Prior to joining Fortive, he served as Group President of Automation at Danaher for two years. Prior to Danaher, Pat spent three years as the CEO of Nidec Motor Company and the President of the Appliance, Commercial and Industrial segment of Nidec Corporation. Prior to Nidec, Pat spent 26 years at Emerson in roles of increasing responsibility.
Both Andrew and Pat have served as Executive Advisors to KKR since 2024. In this capacity, they partner with KKR to pursue new acquisition opportunities and value creating strategies in the industrials sector.

This announcement updates the statements of intent made by Bidco pursuant to Rule 2.7(c)(viii) and Rule 24.2 of the Code, as set out in the firm offer announcement from Bidco for the entire issued and to be issued share capital of Spectris published on 2 July 2025 (the "Acquisition"), the circular in relation to the implementation of the Acquisition by means of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 dated 29 July 2025 (the "Scheme Document") and reconfirmed in the increased cash offer announcement published by Bidco on 5 August 2025.

Additional information for U.S. investors
U.S. Spectris Shareholders should note that the Acquisition relates to an offer for the shares of a UK company and is being made by means of a scheme of arrangement provided for under English company law. The Acquisition is therefore not subject to the tender offer rules or the proxy solicitation rules under the U.S. Exchange Act, as amended. Accordingly, the Acquisition is subject to the requirements and practices applicable to a scheme of arrangement involving a target company in the UK listed on the London Stock Exchange, which differ from the requirements of the U.S. tender offer and proxy solicitation rules. If, in the future, Bidco exercises its right to implement the Acquisition by way of a Takeover Offer and determines to extend the Takeover Offer into the U.S., the Acquisition will be made in compliance with applicable U.S. tender offer rules and regulations.
The financial information with respect to Spectris included in this announcement has been or will have been prepared in accordance with IFRS and thus may not be comparable to financial information of U.S. companies or companies whose financial statements are prepared in accordance with generally accepted accounting principles in the U.S.
