Update related to the Notice of Special General Meeting of Shareholders

 

 

SimiGon (LON: SIM) wishes to update shareholders that on January 30, 2022, the lawyers of D.D. Goldstein Real Estates and Investments Ltd. ("Goldstein") in a letter to the attorneys of the Company and its directors, against whom Goldstein filed an application for approval of a derivative action, requested that the Company notify its shareholders that Goldstein was preparing to submit a tender offer for the Company's shares (the "Tender Offer"). No specific financial terms of the Tender Offer or a date on which the Tender Offer would be submitted were provided.

 

This notification is made solely at the request of Goldstein's lawyers. SimiGon's board of directors cannot attest to the certainty of the submission of the potential Tender Offer and has no knowledge of what terms might be offered and therefore does not propose any changes to the Notice of Special General Meeting of Shareholders issued by the Company on January 14, 2022.
