Furthermore, Be Heard announces that, on 13 May 2019, the Company's Long-Term Incentive Plan ("LTIP") was approved and that subsequent to this options were granted over ordinary shares of one pence each in the capital of the Company ("Options") to certain Directors and PDMRs, the details of which are set out below:

All Options are exercisable at a price of nil pence, and vest at multiple points dependent upon profit and share price targets. These targets are as follows:

The options are exercisable once vested for a 10-year period from the date of grant.
As with many LTIP schemes the Remuneration Committee is able to amend targets to reflect such matters as acquisitions and disposals and where appropriate market conditions (with regards to providing competitive remuneration and incentive packages). Full details of the LTIP scheme will be published with the Group's interim results.
