Notice of AGM

Onward Opportunities Limited, the UK smaller company focussed investment company, is pleased to provide an update on its intended move to the Main Market of the London Stock Exchange plc (the "Migration").

As previously announced, the Board believe the Migration is aligned with the Company's growth ambitions and will broaden the Company's potential investor base.

The Company is pleased to announce that preparations are well underway and that admission to the closed-ended investment funds segment of the Official List and commencement of trading on the Main Market of the London Stock Exchange (the "Admission") will take place at 8:00 a.m. on 16 April 2026. At that point, the Group's existing admission to trading on AIM will be cancelled. As a result, the Company gives notice of the intended cancellation of trading of its ordinary shares on AIM, in accordance with Rule 41 of the AIM Rules for Companies.

Admission is subject to, inter alia, the approval by the FCA of a prospectus and the ordinary shares being admitted by the FCA to the Official List and by the London Stock Exchange to trading on the Main Market.

The Company is not offering any new Ordinary Shares nor any other securities in connection with Admission. Following Admission, the Ordinary Shares will continue to be registered with their existing ISIN of GG00BMZR1514 and the TIDM will remain ONWD.

Notice of AGM

The Company also announces that its Annual General Meeting ("AGM") will be held at 8:30 a.m. on 15 April 2026 at Les Echelons Court, Les Echelons, St Peter Port, Guernsey GY1 1AR.

In addition to standard business to be put to the AGM, and in preparation for the Migration, proposals will be put to the AGM to make consequential non-material changes to: (a) the Company's investing policy; (b) the Company's articles of association (the "Proposals"). 

The Notice of AGM, form of proxy and blacklined versions of the full text of the proposed new investing policy and articles of incorporation to be put to the AGM, will shortly be available on the Company's website at www.onwardopportunities.co.uk.

The Directors consider the Proposals, which are required to enable the Migration, to be in the best interests of Shareholders as a whole. Accordingly, the Directors unanimously recommend that Shareholders vote in favour of the resolutions, as they intend to do in respect of their own shareholdings, which in aggregate total 190,156 ordinary shares in the capital of the Company representing approximately 0.58 per cent. of the issued ordinary share capital of the Company.

Whether or not shareholders propose to attend the AGM, the Board encourages all shareholders to complete and submit a form of proxy in accordance with the instructions detailed in the Notice of AGM.
