Update on regulatory approvals and timetable

On 3 November 2020, the board of directors of Waterfall EIT UK Limited ("Bidco") and the board of directors of Alternative Credit Investments plc ("ACI") announced that they had reached agreement on the terms of a recommended cash offer to be made by Bidco for the entire issued ordinary share capital of ACI (the "Acquisition") proposed to be effected by means of a court-sanctioned scheme of arrangement between ACI and the ACI Shareholders under Part 26 of the Companies Act 2006 (the "Scheme").

The circular in relation to the Scheme was published on 24 November 2020 (the "Scheme Document"). On 17 December 2020 the Scheme was approved by Scheme Shareholders at the Court Meeting and the Resolutions relating to the implementation of the Scheme were approved by ACI Shareholders at the General Meeting.

Capitalised terms used in this announcement ("Announcement") but not otherwise defined have the meanings given to them in the Scheme Document. All references to times in this Announcement are to London, United Kingdom times.

Update on regulatory approvals

The Acquisition is subject to the Conditions set out in Part III of the Scheme Document, including the receipt of certain regulatory approvals.

As stated in the Scheme Document, on 18 November 2020, the United States Federal Trade Commission granted Bidco's request for an early termination of the waiting period in respect of the filing made in regards to the Acquisition pursuant to the HSR Act.

ACI and Bidco are pleased to confirm that approval has now also been received from the FCA in respect of the change in control of ACI, and that therefore all regulatory approvals relevant to the Scheme have now been received.

 

Update on timetable

The Scheme remains subject to the satisfaction or (where applicable) waiver of the remaining Conditions and further terms set out in the Scheme Document, including the Court's sanction of the Scheme at the Sanction Hearing, which has been booked to be held on 11 March 2021 (being the Court's earliest available date to hold the Sanction Hearing) and the delivery of a copy of the Court Order to the Registrar of Companies thereafter.

The expected timetable of principal events for the remaining steps required to implement the Scheme is set out below. The Scheme is expected to become effective on 15 March 2021 once the Court Order is delivered to the Registrar of Companies. A further announcement confirming that the Scheme has become Effective will be released in due course.

The Acquisition relates to the shares of a company incorporated in England and it is proposed to be made by means of a scheme of arrangement provided for under English law.
