Update related to Merger and Delisting schedule and the application for a restraining order with respect to the delisting
SimiGon Ltd. (LON: SIM) wishes to update its shareholders that Mr. Gal Erez has withdrawn his application for a restraining order concerning the Cancellation and Merger. The Lawsuit previously announced by the Company on February 21, 2022 and on February 24, 2022 remains in place. The Company is therefore proceeding towards consummation of the Merger and the Cancellation albeit there has been a procedural delay to the timetable as previously notified. The following is the anticipated revised timetable (all in London time) regarding the completion of the Merger and the Cancellation:

7:30am on Monday, March 28, 2022 | Trading in the Company's shares will be suspended pending effectiveness of the Merger and disablement in CREST |
During the course of Monday, March 28, 2022 | The Merger becomes effective upon, and subject to, issuance of the merger certificate in accordance with the Companies Law.[1] |
6:00pm on Monday, March 28, 2022 | The Depositary Interests (DIs) will be cancelled, and all DI holders will be registered as shareholders on the SimiGon share register. Settlement of transactions concluded prior to this date will be performed until close of business UK time on this date. Record date for entitlement to Merger Consideration. |
7:00am on Tuesday, March 29, 2022 | Cancellation of admission to trading on AIM |
If any of the above dates change, the revised dates will be notified to Shareholders through a Regulatory Information Service announcement with the dates following the Meeting.
