Treatment of Clarke and Leavesley family shareholdings

St. Modwen Properties PLC (the "Company") has for a number of years aggregated the shares held by members of the Clarke and Leavesley families and presented them as either "Simon Clarke and connected parties" or "J.D. Leavesley and connected parties".

Following successive sales of shares in the Company by various members of the Clarke and Leavesley families, as well as the passage of time, the Company no longer intends to treat the shareholdings of each member of the Leavesley family in terms of "J.D. Leavesley and connected parties", but instead intends to present the shareholding of each member of the Leavesley family individually. This may mean that there will be no notification to the public of any changes in the shareholdings of the individual members of the Leavesley family.

Given Simon Clarke's role as a non-executive director of the Company, and the proximity of each member of the Clarke family to each other, the Company intends to continue to present the shareholdings of each member of the Clarke family collectively, as "Simon Clarke and connected parties".

The Company understands that the number of shares in the Company currently held by Simon Clarke and connected parties is 15,175,196 (6.82 per cent. of the Company's issued share capital). Following the change to the way in which the Company intends to present the shareholdings of each member of the Leavesley family as set out in this announcement, the Company understands that the individual members of the Leavesley family do not currently hold any shares in the Company which are required to be disclosed in accordance with DTR 5.1.2.
