HALMA p.l.c.TRANSFER OF TREASURY SHARES

Halma p.l.c. announces that on 1 December 2010 it transferred 4,298 ordinary shares, held by the Company in Treasury, to a participant of the Halma p.l.c. Performance Share Plan 2005, in satisfaction of awards which vested in accordance with the Rules of the Plan.

Following the above transfer, the Company holds 1,301,368 ordinary shares in Treasury. The total number of ordinary shares in issue (excluding treasury shares) is 376,733,266.
