Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on 5th May 2009, the following ordinary shares were transferred from treasury stock for the purposes of employees' share option scheme allotments:

329458 ordinary shares at 1.055 pence per share 7500 ordinary shares at 1.0425 pence per share 7475 ordinary shares at 0.9475 pence per share 40461 ordinary shares at 0.7 pence per share 29780 ordinary shares at 0.47 pence per share 58360 ordinary shares at 0.4375 pence per share 38000 ordinary shares at 0.25 pence per share

Following the above transfers of treasury stock, the Company held 81,807,416

Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,262,248,280.
