GKN plc Transfer of Treasury Shares GKN plc (the `Company') announces that on 2 March 2015 the following ordinaryshares of 10p each were transferred out of treasury to satisfy the exercise ofoptions by participants of the: GKN Executive Share Option Scheme 2004: 29,563 ordinary shares at 134.6p per ordinary share GKN Long Term Incentive Plan 2004: 343,558 ordinary shares of nil cost options Following the above transfer of treasury shares, the Company holds 17,339,355ordinary shares in treasury. The total number of ordinary shares in issue(excluding treasury shares) is 1,643,190,504.
