Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on November 19th, 2009 the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

3657 ordinary shares at 125 pence per share

11500 ordinary shares at 105.5 pence per share

8212 ordinary shares at 104.25 pence per share

16860 ordinary shares at 70 pence per share

7000 ordinary shares at 47 pence per share

In addition 14468 ordinary shares were transferred from treasury stock for the vesting of Share Awards under the Employee Equity Plan.

Following the above transfers of treasury stock, the Company held 64,712,961

Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,279,342,735
