GKN plc Transfer of Treasury Shares GKN plc (the `Company') announces that on 9 April 2015 the following ordinaryshares of 10p each were transferred out of treasury to satisfy the exercise ofoptions by participants of the: GKN Executive Share Option Scheme 2004: 9,854 ordinary shares at 140.03p per share GKN Long term Incentive Plan 2004: 752,555 ordinary shares (nil cost option) Following the above transfer of treasury shares, the Company holds 12,750,078ordinary shares in treasury. The total number of ordinary shares in issue(excluding treasury shares) is 1,647,779,781.
