Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on 23rd February 2009, the following ordinary shares were transferred from treasury stock for the purposes of employees' share option scheme allotments:

6,294 ordinary shares at 81.00 pence per share

26,973 ordinary shares at 70.00 pence per share

14,835 ordinary shares at 47.00 pence per share

11,023 ordinary shares at 25.00 pence per share

Following the above transfers of treasury stock, the Company held 84,576,203 Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,259,479,493
