Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on 11th September 2008, the following ordinary shares were transferred from treasury stock for the purposes of employees' share option scheme allotments

45,783 ordinary shares at .25 pence per share

1,686 ordinary shares at .70 pence per share

Following the above transfers of treasury stock, the Company held 84,343,916

Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,259,111,780.
