ARM Holdings plc ("the Company") announces that on February 17th, 2011 the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

2500 ordinary shares at 25 pence per share

26973 ordinary shares at 70 pence per share

43879 ordinary shares at 47 pence per share

Following the above transfers of treasury stock, the Company held 0 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,344,725,655.
