ARM Holdings PLC11 February 2008 Transfer of Treasury Shares ARM Holdings PLC 08 February 2008 ARM Holdings plc ("the Company") announces that on 8 February 2008, 64,317ordinary shares have been transferred from treasury stock for the purposes ofemployees' share option scheme allotments at a price of 47.0 pence per shareand 2,220,247 ordinary shares have been transferred from treasury stock for thevesting of Share Awards under the Employee Equity Plan and the Long TermIncentive Plan ( " LTIP " ): Following the above transfers of treasury stock, the Company held 64,733,677 ordinary shares as treasury shares. The total number of ordinary shares in issue(excluding shares held as treasury shares) was 1,279,322,019. In addition to the above transfers of treasury stock, 1,201,431 ordinaryshares were transferred from the ARM Holdings PLC Employee Share Ownership Trustfor the vesting of conditional awards under the 2005 LTIP.
