Transfer of Treasury Shares

GKN plc (the ‘Company’) announces that the following ordinary shares of 10p each were transferred out of treasury to satisfy the exercise of options by participants of the GKN Sustainable Earnings Plan Scheme 2012 on 7 March 2017 and 8 March 2017 respectively:

103,839 ordinary shares of nil cost options

2,522,244 ordinary shares of nil cost options

Following the above transfers of treasury shares, the Company holds 8,891,294 ordinary shares in treasury. The total number of ordinary shares in issue (excluding treasury shares) is 1,717,212,336
