GKN plc Transfer of Treasury Shares GKN plc (the `Company') announces that on 15 August 2013 the following ordinaryshares of 10p each were transferred out of treasury to satisfy the exercise ofoptions by participants of the: GKN Executive Share Option Scheme 2004: 734,619 ordinary shares at 110.08p 389,814 ordinary shares at 134.6p per share GKN Long Term Incentive Plan 2004: 889,536 ordinary shares (nil cost options) Following the above transfer of treasury shares, the Company holds 20,953,452ordinary shares in treasury. The total number of ordinary shares in issue(excluding treasury shares) is 1,639,576,407.
