TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Board of Hays plc advises that on 26 June 2009 it transferred 6,306,657 Ordinary Shares of 1p each held in Treasury to the Hays plc Employee Share Trust at 85.75 pence per share, being the closing middle market quotation on 25 June 2009.

Following this transfer, Hays plc holds 82,024,582 Ordinary Shares of 1p each in Treasury. The number of shares in issue is 1,382,071,984 (excluding treasury shares).
