TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Board of Hays plc advises that on 1 February 2008 it transferred 616,820 Ordinary Shares currently held in Treasury to satisfy awards under the `Hays plc UK Share Save Scheme - 2004 offer'.

Following this transfer, Hays plc holds 58,264,913 Ordinary Shares in Treasury. The number of shares in issue is 1,405,831,653 (excluding treasury shares).
