TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Board of Hays plc advises that on 12 December 2006 it transferred 106,203 Ordinary Shares currently held in Treasury to satisfy executive share option exercises.

Following this transfer, Hays plc holds 105,451,799 Ordinary Shares in Treasury. The number of shares in issue is 1,458,644,767 (excluding treasury shares).
