Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on 3rd and 4th March2009, the following ordinary shares were transferred from treasury stock for the purposes of employees' share option scheme allotments:

43,000 ordinary shares at 38.00 pence per share

26,578 ordinary shares at 43.00 pence per share

18,468 ordinary shares at 47.00 pence per share

Following the above transfers of treasury stock, the Company held 84,488,157.

Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,259,567,539
