Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on June 3rd, 2010 the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

9750 ordinary shares at 246.5 pence per share

2250 ordinary shares at 136 pence per share

5000 ordinary shares at 132.5 pence per share

8000 ordinary shares at 105.5 pence per share

10000 ordinary shares at 94.75 pence per share

26973 ordinary shares at 70 pence per share

32735 ordinary shares at 65 pence per share

13970 ordinary shares at 25 pence per share

60000 ordinary shares at 22 pence per share

In addition 391,628 ordinary shares were transferred from treasury stock for the vesting of Share Awards under the Employee Equity Plan

Following the above transfers of treasury stock, the Company held 28,976,495 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,315,079,201
