Transfer of Treasury Shares

Spectris plc announces that on 4 May 2010, the following ordinary shares were transferred from treasury stock for the purposes of employee share option allotments under the Spectris 1996 Executive Share Plan, the Spectris 1999 Executive Share Option Scheme, the Spectris Performance Share Plan and the Spectris Savings Related Share Option Scheme:

700 shares at 525 pence per shares (96 ESP)

430 shares at 525 pence per shares (99 ESOS)

495 shares at 5 pence per share (PSP)

396 shares at 618 pence per share (SAYE)

Following the above transfer, the total number of Spectris plc ordinary shares in issue (excluding the total of 9,208,446 ordinary shares now held in treasury) is 115,796,677.
