Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on 1st May 2009, the following ordinary shares were transferred from treasury stock for the purposes of employees' share option scheme allotments:

281,502 ordinary shares at 1.055 pence per share 5,000 ordinary shares at 1.05 pence per share 7,525 ordinary shares at 0.9475 pence per share 10,124 ordinary shares at 0.7 pence per share 12,000 ordinary shares at 0.56 pence per share 1,800 ordinary shares at 0.47 pence per share 10,000 ordinary shares at 0.4375 pence per share 10,000 ordinary shares at 0.25 pence per share 40,000 ordinary shares at 0.24 pence per share

Following the above transfers of treasury stock, the Company held 82,318,450

Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,261,737,246.
