On 20 December 2012 the Company issued 258,878 shares from Treasury to coverbonuses and issues under the Company's HMC approved Share Incentive Plan (SIP)to directors and staff at 22.00 pence per share.
Directors and PDMR's receiving shares and directors' new beneficial holdingtotals are as follows- ADDITIONAL NEW TOTAL % OF ISSUED SHARES HOLDING SHARESDirectors-R J Corry 27,631 1,028,448 1.22%J A Heller 40,721 1,673,581 1.99%M A Heller 62,500 6,336,502 7.55%PDMR's-Members of staff 128,026TOTAL 258,878 sharesFollowing this issue of Treasury shares M A Heller and his family had aninterest in 47,687,962 shares in the company representing 56.58% of the issuedshare capital net of Treasury shares.
The Company now holds 1,254,738 shares in Treasury. For reporting purposesunder section 198 of the Companies Act 1985 the market should exclude anyshares held in Treasury and use an issued share capital figure of 84,287,973shares.
Following the receipt of the additional shares referred to above M A Hellertransferred 31,250 of his additional shares to family companies.
Following this transfers their holdings are now:-
NEW TOTAL % OF ISSUED HOLDING SHARESM A Heller 6,335,252 7.52%The overall interest of J A Heller and M A Heller and family was unaltered bythis further transfer, remaining at 47,687,962 shares representing 56.58% ofissued share capital, as stated above.
