Transfer of Shares held in Treasury

Warner Estate announces that it has transferred 130,000 ordinary shares of 5p each in the Group held in Treasury on 3rd May 2011 to Capita IRG Trustees Limited, the Trustee of its All-Employee Share Ownership Plan ("AESOP") to be used by the Trustee to satisfy future awards under the AESOP.

Following the above transfer of shares out of Treasury, Warner Estate holds a total of 120,000 ordinary shares of 5p each in Treasury. The total number of ordinary shares of 5p each in issue (excluding Treasury shares) is 56,050,865.
