Transfer of Treasury Shares

Spectris plc announces that on 21st March 2012, the following ordinary shares were transferred from treasury stock for the purposes of employee share option allotments under the Spectris Performance Share Plan, Executive Share Plan and Executive Share Option Scheme:

1,095 shares at 5 pence per share (PSP)

3,356 shares at 589 pence per share (ESP)

1,644 shares at 589 pence per share (ESOS)

5,000 shares at 406.25 pence per share (ESOS)

Following the above transfer, the total number of Spectris plc ordinary shares in issue (excluding the total of 8,019,901 ordinary shares now held in treasury) is 116,985,222.
