Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on February 19th, 2010 the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

50,000 ordinary shares at 22 pence per share

22,369 ordinary shares at 43.75 pence per share

70,000 ordinary shares at 101 pence per share

2,500 ordinary shares at 104.25 pence per share

27,500 ordinary shares at 105.5 pence per share

67,624 ordinary shares at 125 pence per share

13,125 ordinary shares at 136 pence per share

In addition 1,020,641 shares at 104 pence per share were transferred for the purpose of the maturation of the ARM Holdings plc US Employee Stock Purchase Plan

Following the above transfers of treasury stock, the Company held 35,286,819

Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,308,768,877
