ICAP plc ("the Company")

Treasury shares

On 18 November 2016, the Company transferred a total of 4,631 ordinary shares at £2.72 per share to participants in its 2013 Sharesave Scheme and 7,266 ordinary shares at a total exercise cost of £2.00 to participants in the ICAP plc Senior Executive Equity Participation Plan. These shares were previously held as treasury shares.

Following the above transactions, the Company holds 11,872,226 ordinary shares in treasury, and has 652,664,780 ordinary shares in issue (excluding treasury shares).
