Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on August 18th, 2009 the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

1,250 ordinary shares at 105.5 pence per share 10,000 ordinary shares at 94.75 pence per share |
|
8,486 ordinary shares at 70 pence per share |
In addition 1,172,124 shares at 81.6 pence per share were transferred for the purpose of the maturation of the ARM Holdings plc US Employee Stock Purchase Plan
Following the above transfers of treasury stock, the Company held 74,728,783
Ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,269,326,913.
