TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Board of Hays plc advises that on 22 February 2008 it transferred 142,957 Ordinary Shares currently held in Treasury to satisfy awards under the `Hays plc Irish Share Save Scheme - 2004 offer'.

Following this transfer, Hays plc holds 61,378,613 Ordinary Shares in Treasury. The number of shares in issue is 1,402,717,953 (excluding treasury shares).
