GKN plc Transfer of Treasury Shares GKN plc (the `Company') announces that on 29 October 2014, 762,250 ordinaryshares of 10p each were transferred out of treasury to satisfy the exercise ofnil cost options by participants of the GKN Long Term Incentive Plan 2004. Following the above transfer of treasury shares, the Company holds 17,879,078ordinary shares in treasury. The total number of ordinary shares in issue(excluding treasury shares) is 1,642,650,781.
