Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on Aug 18th, 2010 the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

17,628 ordinary shares at 110.40 pence per share.

17,982 ordinary shares at 70 pence per share

10,000 ordinary shares at 55 pence per share

In addition 651,130 shares at 166 pence per share were transferred for the purpose of the maturation of the ARM Holdings plc US Employee Stock Purchase Plan

Following the above transfers of treasury stock, the Company held 25,902,345

ordinary shares as treasury shares. The total number of ordinary shares in issue

(excluding shares held as treasury shares) was 1,318,153,351.
