ICAP plc ("the Company")

Treasury shares

On 22 April 2015, the Company transferred a total of 121,248 shares as follows:

· 100,000 ordinary shares at £2.97 per share to a participant in the 2001 ICAP plc Unapproved Company Share Option Plan;

· 12,040 ordinary shares at £2.74 per share to participants in its 2012 Sharesave Scheme;

· 7,720 ordinary shares at £2.72 per share to participants in its 2013 Sharesave Scheme; and

· 1,488 ordinary shares at £3.02 per share to participants in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 15,074,342 ordinary shares in treasury, and has 649,462,664 ordinary shares in issue (excluding treasury shares).
