(Verizon) filed a Current Report on Form 8-K with the U.S. Securities and Exchange Commission (SEC) regarding an unsolicited "mini-tender-offer" made by TRC Capital Corp. (TRC) to Verizon shareholders to purchase up to 3 million shares of Verizon stock at $28 per share. Verizon recommends against shareholders tendering their shares to TRC because the offer price is below the current market price for Verizon shares.
