Transfer of shares held in treasury

Micro Focus International plc announces that participants in the Company's employee share schemes have exercised the following options over ordinary shares of 10 pence each:

14,011 options at a price of 244.75 pence per share; and

4,839 options at a price of 202 pence per share.

These shares, all formerly held as treasury shares, were transferred to the participants on 18 October 2011.

Following the above transfer of shares out of treasury, the Company confirms that its issued share capital comprises 206,086,312 Ordinary Shares of 10 pence each, of which 20,399,367 Ordinary Shares are held in Treasury. Therefore, the total number of voting rights in the Company is 185,686,945.
