TRANSFER OF SHARES

Cable & Wireless Communications Plc (the "Company") announces that Sir Richard Lapthorne, Chairman of the Company, notified it on 26 August that Lady Valerie Lapthorne transferred 2,300,000 ordinary shares of 5 cents each in the Company ("Ordinary Shares"), representing 0.05% of the Company's issued share capital, to her spouse Sir Richard Lapthorne for nil consideration. Following the transfer, the total beneficial interest of Sir Richard Lapthorne and his connected persons in the Ordinary Shares remains unchanged at 9,000,000 shares, representing 0.21% of the Company's issued share capital.
