 Transfer of Shares

Andrew Austin, Chairman of RockRose Energy ("RockRose" or the "Company") is transferring 347,000 of his ordinary shares in RockRose to the Company's Employee Benefit Trust in order to incentivise future hires with no dilutive effect on the other shareholders. In addition, Andrew Austin is transferring 700,000 of his shares in RockRose into his SIPP. The transfers will take Andrew's beneficial holding from 2,342,002 (23.42%) to 1,995,002 (19.95%). For the avoidance of doubt the shares transferring to the SIPP (which is a transfer of merely legal and not beneficial interest) and to the Employee Benefit Trust are subject to the same lock-in conditions which apply to Andrew Austin's shares, as set out on page 62 of the Prospectus.
