Transaction in shares by Person Discharging Managerial Responsibility ("PDMR")
BCA Marketplace plc ("BCA", or the "Company") announces that Avril Palmer-Baunack (Executive Chairman) has subscribed on 15 June 2015 for 101,423 A ordinary shares ("Executive Founder Shares") in BCA's wholly owned subsidiary H.I.J Limited for an aggregate amount of £5,071.15.
In certain circumstances the Executive Founder Shares are exchangeable for ordinary shares in the Company. Further information regarding the Executive Founder Shares are contained in the Company's prospectus dated 26 March 2015 and the Company's financial statements, both of which are available on the Company's website http://www.bcamarketplaceplc.com/investors/key-corporate-documents/2015.aspx. The subscription does not increase the aggregate amount that may become payable by the Company in respect of all the Executive Founder Shares and reallocates such aggregate amount (if payable) between the holders of such Executive Founder Shares. Following such subscription Avril Palmer-Baunack and Marwyn Long Term Incentive LP (a partnership in which James Corsellis and Mark Brangstrup Watts are limited partners) hold 60% and 40% of the Executive Founder Shares in issue respectively.
The Executive Founder Scheme provides its participants with a reward based on the creation of value for shareholders, provided that a preferential return of 10% per annum to shareholders has been achieved. The maximum value to the participants under the Executive Founder Scheme is 10% of the value created less the value accrued on the outstanding awards under all other incentive arrangements.
The Company received notification of such transaction on 18 June 2015.
