Transaction in Own Shares

Wm Morrison Supermarkets Plc ("the Company") announces that on 3 December 2012 it purchased through Jefferies International Limited 650,000 ordinary shares at an average price of 266.966 pence per share.

These shares will be cancelled.

Following the above, the Company holds 3,671,258 ordinary shares as treasury shares. The total number of ordinary shares in issue is 2,359,071,613 (excluding ordinary shares held as treasury shares). 

The total number of voting rights in the Company, excluding treasury shares, is 2,359,071,613. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Wm Morrison Supermarkets Plc under the FSA's Disclosure and Transparency Rules.
