J.P. MORGAN PRIVATE EQUITY LIMITED ANNOUNCESTRANSACTION IN ITS OWN SHARES

19 September 2014

J.P. Morgan Private Equity Limited (the "Company") announces that on 18 September 2014 it has purchased into treasury the following shares:

· 6,000,000 US$ Equity Shares at a price of US$ 0.79474 per Share.

The open market purchase will be accretive to the Company's current NAV of $1.13 per US$ Equity Share as at 31 July 2014.

Following this purchase, the Company has 340,420,574 US$ Equity Shares in issue.

In accordance with Listing Rule 15.5.1 (4), the Company, announces that it is satisfied that all inside information which the Directors and the Company may have to 18 September 2014 has previously been notified via a regulatory information service and, therefore, the dealings referred to in LR 15.5.1 (3) during the period until the publication of the Company's annual results for the year ended 30 June 2014 are permitted.
